1. What is PTC Announcing today?
PTC has completed its acquisition of OHIO Design Automation, Inc., a privately held company headquartered in Nashua, New Hampshire, USA. PTC issued a press release on April 8, 2004, highlighting the strategic nature of this acquisition.

2. Who is OHIO Design Automation, Inc.?
OHIO-DA is the provider of InterCommTM, a leading electronic design collaboration product in use in over 400 companies throughout more than 20 countries. Major OHIO-DA customers include Cisco, EMC, Harris, Maxtor, Motorola, and Raytheon.

3. Describe OHIO-DA's business.
OHIO-DA sells collaboration tools for use in the electronic design process. OHIO-DA's primary product is InterComm, a powerful, yet easy-to-use, verification, visualization and collaboration software product that has become an open standard for electronic design collaboration. InterComm gives engineers, manufacturers and customers simple access to complex Printed Circuit Board (PCB) design data created in leading electronic design automation (EDA) tools, including those provided by Cadence Design Systems, Mentor Graphics, Zuken and other EDA vendors.

InterComm allows users to de-bug and verify the design intent of schematic and Electronic CAD (ECAD) designs, directly from their desktops, without requiring the native EDA tool. In addition, OHIO-DA's EDAconduit solution allows bi-directional exchange of changes between InterComm and certain EDA tools.

4. Why is this acquisition important?
The acquisition of OHIO-DA allows PTC to address a previously unmet PLM need in electronic design. Most new products across major industries include electronic components. As manufacturers strive to achieve a single source of data and a bill-of-material (BOM) that represents the complete product, they have found it difficult to coordinate and synchronize the management of data generated by MCAD and ECAD applications. Given PTC's strengths in mechanical design and enterprise PLM, and OHIO-DA's expertise in electronic design and the acceptance of their products by the High-Tech industry worldwide, it is clear that the combination of the two companies is a win for both PTC and OHIO-DA customers, as well as for the PLM industry as a whole.

5. Will PTC continue to support OHIO-DA's products as an open industry standard?
Yes. With their neutral approach to system-level Electronic Design Automation (EDA) software vendors, OHIO-DA's products have grown to become a standard for electronic design collaboration. PTC will continue this open approach to EDA software vendors. Furthermore, PTC intends to continue to make OHIO-DA's InterComm available to other PLM partners.

6. How will this acquisition help PTC meet key PLM needs in electronic design?
The integration of InterComm with PTC's Windchill® PLM solutions will allow companies to manage EDA design data in an extended enterprise, enabling concurrent design across an increasingly outsourced and geographically disparate design chain. As a result, companies can conduct cross-discipline work-in-process design reviews, complete paperless test and debug of PCB's, facilitate the creation of documentation, drawings and manufacturing packages, and hasten change impact analysis.

7. Will this acquisition improve PTC's ability to support electro-mechanical design integration?
Yes, the combination of InterComm technology with PTC's Pro/ENGINEER® and Windchill solutions, will allow PTC to deliver breakthrough collaboration and issue-resolution capabilities to address key issues in electro-mechanical design integration over time.

8. How will OHIO-DA be integrated into PTC's organizational structure?
PTC is extremely excited to retain the talented individuals from OHIO-DA and expects that their deep knowledge and commitment to the electronic design industry will benefit the company and our customers alike. As part of the acquisition, PTC will retain all OHIO-DA employees. OHIO-DA will continue to be run as a focused business unit, with a separate team focused on solving the problems of the electronic design process. John Lane, President and CEO of OHIO-DA, will become a Senior Vice President for PTC and will report to James Heppelmann, PTC's Chief Product Officer. This business unit will continue to be based out of their current Nashua, NH location.

9. Describe OHIO-DA's products.
InterComm: OHIO-DA's primary product is InterComm, a powerful, yet easy-to-use solution that gives engineers, manufacturers and customers simple access to complex Printed Circuit Board (PCB) design data created in leading EDA tools, including those provided by Cadence Design Systems, Mentor Graphics, Zuken and other EDA vendors. InterComm allows users to de-bug and verify the design intent of schematic and ECAD designs, directly from their desktops, without requiring the native EDA tool.

EDAconduit: Allows bi-directional exchange of changes between InterComm and certain EDA tools. EDAconduit eliminates manual file extraction steps with a fully automated bi-directional link between the EDA authoring tool and InterComm. EDAconduit is capable of back-annotating InterComm red-line markups into ECAD layout and schematic tools. EDAconduit also enables direct cross-highlighting of any EDA data captured in InterComm (i.e. schematic or PCB) with the EDA authoring tools.

Harmony: Prior to InterComm, OHIO-DA developed Harmony, a collection of interactive commands inside the Cadence Allegro® layout editor that assists users in basic geometric construction. Harmony saves time by providing complementary functionality not previously available in Allegro.

10. Will OHIO-DA's products be available for sale by PTC?
OHIO-DA's products will be immediately available for sale by PTC. In addition, PTC plans to provide InterComm as an integral module of PTC's Windchill PLM solutions.

11. What is the roadmap for OHIO-DA solutions long-term?
PTC will continue to invest in OHIO-DA's solutions. Some areas of product focus include:

12. How will PTC support OHIO-DA's products and existing customers?
OHIO-DA will continue to be run as a separate business unit within PTC, and will retain all of the current OHIO-DA technical support personnel and procedures. OHIO-DA's currently available products will be immediately available for sale by PTC. Existing customers should visit the OHIO Customer Transition page located at www.ptc.com/go/ohiotransition/ to find out more about support, maintenance, and product information..
